Terms of Service

These Terms of Service govern the use of Crowdii (the "Service"), an influencer marketing platform provided by ktss Inc. ("we," "us," or the "Company"). By using Crowdii, you agree to these Terms.

1. Scope

These Terms apply to all relationships between the Company and users relating to the Service.

Rules, notices, pricing information, and other conditions displayed on the Service or our website form part of these Terms.

Where a separate agreement applies to managed services or other professional services, that agreement will prevail to the extent of any conflict.

2. Definitions

  • "User" means any company, sole proprietor, brand, advertiser, agency, or other person using the Service for business purposes.
  • "Influencer" means an individual, company, agency, or other entity that publishes content through social media or other media.
  • "Campaign" means any PR, promotional, or marketing initiative posted, offered, accepted, or managed through Crowdii.
  • "Self-Managed Campaign" means a campaign in which the User uses Crowdii to select influencers and manage engagement, communication, and campaign execution.
  • "Managed Service" means services under which Crowdii assists with or manages planning, influencer selection, outreach, casting, campaign execution, or related activities under a separate request or agreement.

3. Accounts

Users must provide accurate and current registration information and securely manage their login credentials.

Accounts or credentials may not be transferred, loaned, or provided to unauthorized third parties.

Use by members of the same organization through official Crowdii team functionality does not constitute prohibited account sharing.

Users are responsible for activities performed by members of their organization through the Service.

We may reject, suspend, or terminate accounts in cases of false registration, misuse, serious prior violations, involvement with antisocial organizations, or other circumstances we reasonably determine to be inappropriate.

4. Service Features

Crowdii may provide features including:

  • Influencer Search
  • AI Search
  • Influencer profiles and analytics
  • Influencer Lists
  • Open Recruitment
  • Direct Offers
  • Chat
  • Campaign Management
  • Other features introduced by Crowdii

Certain AI Search features or other functionality may be available before registration within limits determined by us.

Functionality, result limits, usage limits, and free access are subject to information displayed on the Service or website.

5. AI Search

AI Search may analyze natural-language requests, product URLs, briefs, uploaded files, and other user inputs to structure search criteria and recommend influencer candidates.

Search conditions, recommendation reasons, and other information generated by AI are provided for reference only and are not guaranteed to be accurate, complete, current, or suitable for a particular purpose.

Users remain responsible for deciding whether to engage any influencer.

Users must have all rights and permissions necessary for information submitted to AI features.

6. Influencer Data

Influencer data may include publicly available information, information lawfully obtained by us, and information provided by influencers or their representatives.

We seek to maintain the information where reasonably practicable but do not guarantee its accuracy, completeness, or currency.

Users may use such information only as reasonably necessary for influencer marketing initiatives conducted by them or on behalf of their clients.

7. Data Use Restrictions

Without our prior authorization, Users may not:

  • Scrape, crawl, or perform excessive automated access to the Service
  • Sell, redistribute, or republish influencer data, search results, or lists
  • Repackage Crowdii data into another database
  • Build a competing database or similar service using Crowdii data
  • Use data in a way that unfairly infringes an influencer's rights
  • Use Crowdii data for spam, harassment, or improper solicitation

8. Fees

Fees for the Service are described on the Pricing page.

Core platform features are currently provided free of charge.

For Self-Managed Campaigns, a platform fee applies when influencer compensation is paid.

For Managed Services, a managed-service fee applies. The managed-service fee and the platform fee are not charged together on the same influencer compensation.

The applicable fee rate or amount will be presented before payment through the campaign terms, the Service interface, or another method designated by Crowdii.

Applicable taxes may be charged in addition to the stated fees.

Influencer compensation, products, shipping costs, advertising spend, and other campaign expenses are separately borne by the User.

If we change our fee structure, we will provide advance notice through the website or other appropriate means.

9. Payments and Settlement

Users must pay influencer compensation, fees, applicable taxes, and other required amounts at the time an influencer engagement is confirmed or at another time specified by Crowdii.

Payments may be processed through third-party payment providers.

Crowdii or its designated payment provider may receive campaign funds from Users and process payment to the Influencer after campaign completion or satisfaction of other applicable conditions.

Crowdii's involvement in payment processing does not, by itself, make Crowdii a party to the underlying PR agreement between the User and Influencer in a Self-Managed Campaign.

Tax-related processing may be carried out in accordance with applicable law and information registered by Users and Influencers.

10. Cancellations and Refunds

Before an influencer engagement is confirmed, Users may withdraw a campaign or offer where the Service allows.

After engagement has been confirmed, cancellation by the User may result in influencer compensation, incurred expenses, completed Managed Services, or other amounts becoming non-refundable.

If an Influencer is unable to perform a Campaign, the parties or Crowdii may consider re-performance, replacement influencers, or another reasonable solution.

Where a Campaign ultimately cannot be performed for reasons not attributable to the User, Crowdii may refund amounts relating to unperformed portions after deducting expenses already incurred, services already performed, and other reasonable amounts.

Where campaign-specific terms, the Pricing page, the Service interface, or a separate agreement provides different cancellation or refund rules, those rules will prevail.

Certain third-party payment fees may be non-refundable.

11. Relationship Between Campaign Parties

For Self-Managed Campaigns, engagement terms, PR requirements, compensation, deadlines, deliverables, and other campaign conditions are generally agreed between the User and the Influencer or the Influencer's agency.

Crowdii provides search, communication, campaign management, payment, and related platform functions but, unless expressly agreed otherwise, is not a party to the underlying PR agreement.

Disputes between Users and Influencers should generally be resolved between those parties, although Crowdii may provide reasonable communication assistance.

12. Managed and Other Services

Separate terms, proposals, quotations, or agreements may apply where Users purchase Managed Services, performance-based sales support, content production, integrated promotional support, or other professional services from Crowdii.

13. User Responsibilities

Users must comply with all laws and requirements applicable to their campaigns, including advertising and disclosure rules, restrictions on undisclosed sponsored content, intellectual property and publicity rights, social platform policies, and industry-specific regulations.

Users are responsible for the legality and accuracy of product information, campaign instructions, claims, and advertising expressions provided to Influencers.

14. Prohibited Conduct

Users must not:

  • Violate applicable law or public policy
  • Register false information
  • Impersonate another person
  • Defame, discriminate against, or harass others
  • Interfere with operation of the Service
  • Access systems without authorization
  • Reverse engineer the Service
  • Circumvent security controls
  • Create multiple accounts for improper purposes
  • Use the Service for spam or abusive solicitation
  • Provide benefits to antisocial organizations
  • Engage in other conduct reasonably determined by Crowdii to be inappropriate

15. Intellectual Property

Intellectual property rights in Crowdii, its website, software, designs, data structures, and related materials belong to the Company or their legitimate rights holders.

Rights in influencer posts, images, and other third-party content remain with their respective rights holders.

Rights in text, images, files, and other content submitted by Users remain with the User or applicable rights holder.

Users grant Crowdii the rights reasonably necessary to process such information for providing, operating, securing, and reasonably improving the Service.

16. Confidentiality

Crowdii and Users must use non-public information learned through the Service or a Campaign only for purposes reasonably necessary to use the Service or perform the Campaign.

Such information must not be disclosed to third parties without legitimate reason, except where required by law or otherwise permitted.

Information already public, lawfully obtained from another source, or otherwise reasonably not considered confidential is excluded.

17. Third-Party Services

Crowdii may integrate with third-party social platforms, AI services, payment providers, cloud providers, email services, analytics services, and other third-party technologies.

Separate terms and policies of those providers may apply.

We do not guarantee continued availability of third-party services where interruption, API changes, policy changes, or other events are beyond our reasonable control.

18. Changes, Suspension, and Discontinuation

We may change, suspend, or discontinue all or part of the Service due to:

  • Maintenance
  • System failures
  • Security concerns
  • Third-party outages
  • Legal requirements
  • Force majeure
  • Other reasonable business reasons

Where reasonably practicable, material changes or discontinuation will be announced in advance.

19. Disclaimers and Liability

We do not guarantee that influencer data, search results, or AI recommendations will be accurate, complete, current, or produce any particular outcome.

We do not guarantee sales, views, conversions, or other specific performance from any influencer engagement.

Except in cases of our willful misconduct or gross negligence, we are not liable for indirect, special, consequential, or lost-profit damages beyond ordinary and direct damages arising from the Service.

Nothing in this Section limits liability where such limitation is prohibited by applicable law.

20. Suspension and Termination

We may restrict access, suspend an account, or terminate registration where a User violates these Terms, engages in fraud or misuse, fails to make required payments, or otherwise materially interferes with operation of the Service.

21. Antisocial Organizations

Users represent and warrant that they and their officers are not members of, controlled by, or improperly associated with antisocial organizations.

We may immediately suspend use of the Service where this representation is breached.

22. Assignment

Users may not transfer, assign, or create a security interest over their contractual position or rights and obligations under these Terms without our prior written consent.

23. Changes to the Terms

We may revise these Terms due to changes in law, the Service, or other reasonable circumstances.

Material changes will be announced in advance through the website or another appropriate method.

Continued use after revision, except where applicable law requires separate consent, constitutes application of the revised Terms.

24. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain effective.

25. Language

These Terms may be made available in languages other than Japanese.

If there is any discrepancy or ambiguity between a translated version and the Japanese version, the Japanese version will prevail to the extent permitted by applicable law.

26. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan.

The Tokyo District Court shall have exclusive jurisdiction as the court of first instance over disputes arising from or relating to Crowdii or these Terms.
